联想控股IPO 基石投资者认购近半股份

Legend Holdings, the Chinese investment group, has presold almost half its $2bn Hong Kong initial public offering to cornerstone investors, in a deal that will bring together assets ranging from PC manufacturing and fruit production to car rentals and dentistry.

中国投资集团联想控股(Legend Holdings)将在香港举行首次公开发行(IPO)，融资约20亿美元，其中近半数股份已预先售给基石投资者。联想控股将利用此次IPO，把PC制造、水果生产、汽车租赁、牙科诊所等不同领域的资产整合起来。

More than 20 new cornerstone investors will join the company’s shareholding ranks, including electronic appliance chain Suning, Beijing Tourism Group, conglomerate Citic Group, and a bevy of Asia-based insurers. Together they will buy $950m worth of Legend stock, and will be subjected to a six-month lock in.

超过20个新基石投资者将加入该公司的股东行列，其中包括家电连锁零售企业苏宁(Suning)、北京首旅集团(Beijing Tourism Group)、中信集团(Citic Group)以及多家亚洲保险商。这些基石投资者合计认购9.5亿美元的联想控股股份，并将锁定持股6个月。

The group’s biggest existing shareholder is CAS Holdings, the investment arm of the Chinese Academy of Sciences, which set up the group in 1984.

联想控股目前的最大股东为中国科学院国有资产经营有限责任公司(CAS Holdings，简称：国科控股)。中国科学院于1984年创办了联想控股。

Legend is planning to raise up to HK$16.2bn ($2.1bn) by listing 15 per cent of its enlarged share capital. The books open for orders on Tuesday morning, with pricing expected on June 22 and a trading debut of June 29.

联想控股拟最多融资162亿港元(合21亿美元)，公开发行的股份将占扩大后股本的15%。周二早上开始接受认购，定价预计将于6月22日公布，6月29日开始挂牌交易。

Most of the proceeds will be used for acquisitions, while up to a fifth will go towards paying down debt. The company said it could look to make overseas purchases after listing, potentially following a path already well-trodden by China conglomerates such as insurer Fosun and property developer Dalian Wanda.

大部分发行所得将用于收购，其中不超过五分之一将用于偿还债务。联想控股表示，可能在上市后寻找海外收购对象。这说明该公司可能走上保险商复星(Fosun)以及房地产开发商大连万达(Dalian Wanda)等中国综合性企业已经驾轻就熟的道路。

Legend is best known for owning almost a third of Lenovo, the Chinese technology company, which accounts for about 70 per cent of its profits. The group has stakes in Hony Capital, the Chinese private equity house that owns UK restaurant chain PizzaExpress, and CAR Inc, the Hong Kong-listed auto rental company. It also owns a slice of one of China’s biggest chain of private dentists.

联想控股最为人所熟知的是拥有中国科技公司联想集团(Lenovo)近三分之一的股份，联想集团占联想控股总利润的约70%。联想控股还持有中国私募股权投资公司弘毅投资(Hony Capital)和香港上市的汽车租赁公司神州租车(CAR Inc)的部分股份，其中弘毅拥有英国连锁餐厅PizzaExpress。联想控股还拥有中国最大的私人牙科诊所连锁运营商之一的部分股份。

The company has angel investment, venture capital and private equity arms as well.

此外联想控股还拥有天使投资、风险投资以及私募股权投资业务。

Liu Chuanzhi, who founded both Lenovo and Legend and still serves as chairman of the latter, told reporters on Monday that his inspiration for Legend’s diverse portfolio of companies came from a visit to a GE facility in the late 1990s. Mr Liu said the US conglomerate had demonstrated a “unique strength to cope with difficult times by bringing together assets from unconnected segments, such as electronics, aeroplane engines and finance.

柳传志是联想集团和联想控股的创始人，目前仍是联想控股的董事长。他周一向记者表示，他对联想控股多元化经营的灵感源自上世纪90年代末参观通用电气(General Electric)工厂的经历。柳传志称，这家美国综合性企业展示了“独特的力量，通过将电子产品、飞机引擎和金融等毫不相关领域的资产整合在一起来应对困难时期。

Legend is set to become the latest in a string of large IPOs in Hong Kong this year, as companies look to ride an equity bull market that has pushed up valuations across various sectors.

Lenovo shares have trailed the market, rising just 9.6 per cent this year compared to 14 per cent gain for the Hang Seng index. However, CAR Inc stock is up by two-thirds.

联想集团股价表现落后于市场大盘，今年迄今仅上涨了9.6%，相比之下恒生指数上涨了14%。不过，神州租车的股价上涨了三分之二。
