SeaWorld Entertainment, the aquatic-themed amusement park operator controlled by the Blackstone Group and home to Shamu the killer whale, has filed for an initial public -offering.

The company will offer up to $100m in common shares, according to a filing with the US Securities and Exchange Commission, although that figure is just for registration purposes and is likely to change.

Under the terms of the listing, Blackstone will retain majority control of the company, but it did not reveal on what date the sale will occur, or the price or quantity of shares to be offered.

With 11 parks across the US, SeaWorld attracted more than 24m tourists in the year ended in September, while generating revenues of $1.16bn in the first nine months of 2012, according to the filing. The company reported net income of $86.2m in the first nine months of 2012, up 72.4 per cent from $50m during the same period last year.

SeaWorld, however, was forced to change its whale-and-dolphin shows after an orca dragged underwater and killed a trainer in front of an audience in 2010. The same whale, which uses the stage name Shamu, like many of SeaWorld’s 28 orcas, had previously killed two other people.

SeaWorld said the money raised would go towards paying down some of its debt, paying a Blackstone affiliate a one-time fee to end its advisory agreement, and general business purposes. Blackstone acquired the theme park operator for about $2.7bn in December 2009.

In March, SeaWorld took on an additional $500m in debt in order to pay Blackstone a dividend, after a $100m payout to the private equity firm in the third quarter of 2011. The company reported $1.83bn in total long-term debt in its filing with the SEC.

Citigroup, Wells Fargo, JPMorgan Chase, Goldman Sachs, Bank of America Merrill Lynch and Barclays are leading the SeaWorld offering.
